1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and askotter LLC ("askotter," "we," "us," or "our") governing your access to and use of the askotter.ai platform, website, APIs, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

askotter is a business observability platform that provides:

  • A unified data lake that connects your business tools and data sources
  • AI-powered agents that monitor your data, detect changes, and generate recommendations
  • A natural-language chat interface for querying any connected data source
  • Professional services including growth marketing, analytics, and optimization

3. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials, including MFA/passkey configurations. You must notify us immediately of any unauthorized access to your account.

All accounts require multi-factor authentication or passkey enrollment. No password-only access is permitted. You are responsible for all activity that occurs under your account.

4. Data Ownership and Rights

Your data is yours. You retain all ownership rights to the data you connect to the platform ("Customer Data"). We do not claim any ownership interest in Customer Data.

You grant askotter a limited, non-exclusive license to access, process, and store Customer Data solely for the purpose of providing the Services. This license terminates when you disconnect a data source or close your account.

We do not use Customer Data to train AI models, share it with other customers, or sell it to third parties.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Services, other accounts, or related systems
  • Reverse engineer, decompile, or attempt to extract the source code of the Services
  • Use the Services to store or transmit malicious code, malware, or harmful content
  • Interfere with or disrupt the integrity or performance of the Services
  • Resell, sublicense, or provide access to the Services to unauthorized third parties
  • Exceed your plan's credit allocation or circumvent usage limits
  • Craft chat queries designed to probe, enumerate, or extract data beyond your authorized scope within the data lake
  • Attempt to access, infer, or reconstruct data belonging to other tenants through query manipulation, prompt injection, or any other technique
  • Use the chat interface to automate bulk data extraction beyond what is permitted by your plan
  • Share, publish, or redistribute query results that contain confidential or regulated data without appropriate authorization

6. Pricing and Payment

The Services are offered under credit-based subscription plans as described on our Pricing page. Prices are subject to change with 30 days' notice.

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as otherwise stated in your subscription agreement.

If payment fails, we will provide notice and a reasonable cure period before suspending access. Unused credits do not roll over between billing periods unless specified in your plan.

7. AI-Generated Content and Chat Query Results

The Services use artificial intelligence to analyze data and generate insights, recommendations, and responses. AI-generated content is provided for informational purposes and should not be treated as professional advice (financial, legal, medical, or otherwise).

You are responsible for reviewing and validating AI-generated outputs before making business decisions. askotter is "lane assist, not autopilot." You always make the final call.

Data Lake Chat Interface. When you submit a query through the natural-language chat interface, askotter translates that query into operations executed against your tenant-isolated data lake. The following conditions apply:

  • Scope: Query execution is strictly limited to data sources you have connected and authorized. No query will access data outside your tenant boundary.
  • Result accuracy: Query results reflect the data available in your lake at the time of the request. Results may be incomplete if source data has not yet synced. You are responsible for verifying the accuracy and completeness of results before acting on them.
  • Query logging: Chat queries, generated query plans, and result summaries are logged for security, audit, and debugging purposes as described in our Privacy Policy. Full result payloads are not permanently retained unless you explicitly save or export them.
  • No guarantee of completeness: The AI translation layer may not capture every nuance of complex queries. Where precision is critical, you should validate results against your source systems directly.

Data Lake Security. The integrity and security of your data lake is a shared responsibility. askotter implements technical controls to prevent unauthorized access, but you are responsible for the accuracy of data you connect, the permissions you grant to team members, and ensuring that connected data sources do not contain data you are not authorized to process through the platform.

7a. Query Result Confidentiality

Results returned through the chat interface may contain sensitive, confidential, or regulated business data derived from your connected sources. You agree to:

  • Treat chat query results with the same level of care as the underlying source data
  • Not share result exports containing regulated data (e.g., PII, payment data, health data) with unauthorized parties
  • Comply with all applicable data protection laws when storing or transmitting exported results
  • Immediately notify askotter if you believe a query result may have exposed data beyond your authorized scope

8. Third-Party Integrations

The Services integrate with third-party tools and platforms at your direction. You are responsible for complying with the terms of service of any third-party tools you connect. We are not responsible for the availability, accuracy, or conduct of third-party services.

By connecting a third-party tool, you represent that you have the necessary rights and permissions to authorize askotter to access data from that tool.

9. Intellectual Property

The Services, including all software, algorithms, interfaces, documentation, and branding, are the intellectual property of askotter LLC and are protected by applicable copyright, trademark, and intellectual property laws.

Nothing in these Terms grants you any right to use askotter's trademarks, logos, or brand assets without prior written consent.

10. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may temporarily suspend the Services for maintenance, updates, or security patches with reasonable notice when possible.

Enterprise customers may be eligible for Service Level Agreements (SLAs) with specific uptime commitments as defined in their subscription agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKOTTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

ASKOTTER'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Indemnification

You agree to indemnify and hold harmless askotter and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or if your account remains inactive for an extended period.

Upon termination, your right to use the Services ceases immediately. We will delete your Customer Data within 30 days of account closure, except where retention is required by law. You may request a data export before closing your account.

15. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance. If you disagree with the updated Terms, you must stop using the Services.
